Frequently asked questions

Practical answers to common legal questions on infrastructure projects.
How long does a project finance transaction typically take?
Timelines vary by project complexity, permitting and procurement. A simple refinancing or single‑asset financing can close in a few months; large greenfield projects with procurement and permit milestones commonly require longer timelines. We advise on realistic milestones during intake.
What makes a PPP ‘bankable’?
Bankability depends on predictable revenue streams, clear risk allocation, enforceable security, reliable contracts (EPC, O&M, PPA) and often public support mechanisms such as availability payments or guarantees.
Do we need separate environmental approvals?
Most projects require environmental clearances, permits and sometimes an EIA. Early engagement on environmental requirements reduces delay risk and supports lender due diligence.
How are construction risks commonly allocated?
Typical allocation places design and build risk with the EPC contractor, while commercial and offtake risks remain with the sponsor. Careful drafting on liquidated damages, delays and variations is essential.
What happens if a change in law affects the project economics?
Contracts commonly include change‑in‑law provisions and compensation mechanisms. If none exist, parties may need to negotiate amendments or pursue dispute resolution depending on the contracts and governing law.
